Terms of Service

These Terms of Service ("Terms") govern the use of Commerce for Agents ("the Service"), an energy tariff comparison and switching service operated by Yavio GmbH ("we", "us", "our"). The Service is designed to be used by AI agents on behalf of a human user and is accessible through ChatGPT and, where available, other agentic clients via the Model Context Protocol (MCP).

By using the Service, directly or through an AI agent acting for you, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use the Service.

1. Description of the Service

The Service compares live electricity and gas tariffs for households in Germany. Based on the inputs provided, it returns ranked offers with prices, contract details, ratings and filters. Offer data and the underlying comparison logic are supplied by our data partner, an energy tariff comparison provider based in Germany. On request, the Service submits a contract application for a chosen tariff to the energy provider on your behalf (Section 3). We collect usage data to operate and improve the Service, as described in our Privacy Policy.

2. No energy, legal, tax, or financial advice

The Service provides general comparison information. It does not constitute energy, legal, tax, or financial advice. The ranking and presentation of offers depend on the data we receive from our data partner and on the inputs provided. Your individual circumstances may not be fully reflected in a comparison. You are solely responsible for evaluating whether an offer is suitable for you before asking for a switch.

3. Concierge switch (authorization)

When you, or an AI agent acting for you, submit a booking through the Service, you instruct and authorize Yavio GmbH to submit the contract application for the chosen tariff to the energy provider on your behalf, including the cancellation of your previous contract by the new provider where this is part of the provider's switching process, and to pass on the SEPA direct debit mandate data you provided. The contract for the supply of energy is concluded exclusively between you and the energy provider; Yavio GmbH is not a party to that contract and is not an energy supplier.

You confirm that the data you provide is accurate and complete, that you are of legal age, that you are entitled to conclude the contract for the supply address and to cancel the previous contract, and that you are the holder of the bank account or authorized to grant the direct debit mandate. You will receive a confirmation email from us when your request has been received and the provider's contract documents from the provider once the application has been submitted.

We submit applications with reasonable promptness, usually within two business days. We may decline or return a request, for example if data is missing or implausible, if the provider does not accept the application, or if the tariff is no longer available; in that case we will inform you by email. Statutory rights, in particular the right of withdrawal for distance contracts under German law, apply to the contract with the provider and are exercised towards the provider.

4. Fees and affiliate disclosure

The use of the Service, the comparison and the concierge switch are free of charge for you. If a contract is concluded after a comparison or a switch through the Service, Yavio GmbH may receive a commission from its data partner or the provider. This commission does not influence the comparison logic supplied by our data partner.

5. Use of the Service

You may use the Service for lawful purposes only. You agree not to use the Service for any illegal or unauthorized purpose, to interfere with or disrupt its functionality, to access it by automated means beyond its intended use in a way that overloads or abuses the underlying data sources, or to submit information about third parties without their consent or authorization. If you operate an autonomous AI agent that uses the Service, you are responsible for the instructions and authorizations that agent holds, and every booking it submits is deemed submitted by you.

6. Host platforms and agentic clients

The Service is offered through ChatGPT (operated by OpenAI) and other clients that connect via MCP. Your use of those clients is subject to their respective terms of use and privacy policies. In the event of a conflict between these Terms and the terms of the host platform, the host platform's terms prevail with respect to your use of that platform.

7. Third-party services

The Service relies on our data partner to supply offer data, comparison results and the order process. We do not control these services and are not responsible for the accuracy, completeness, availability, pricing, eligibility criteria, or contract terms of the offers they provide. Energy providers listed in a comparison are independent third parties. Their tariffs, prices, terms, statutory disclosures and onboarding requirements apply to the contracts they offer.

8. Availability and accuracy

We aim to keep the Service available and functional but make no guarantee of uptime or uninterrupted access. Offer data depends on what our data partner provides and can change at any time. We cannot guarantee that information shown at the moment of a comparison is still accurate when a contract application is submitted; the information provided by the provider at the conclusion of the contract is authoritative.

9. Intellectual property

All rights in the Service's name, branding and original content remain with Yavio GmbH. You may not copy, modify or distribute any part of the Service without our prior written consent.

10. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.

11. Limitation of liability

To the fullest extent permitted by applicable law, Yavio GmbH shall not be liable for indirect, incidental, special or consequential damages arising from the use of or inability to use the Service, including losses arising from any contract with a provider concluded after using the Service. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law, including mandatory provisions of German law.

12. Suspension and termination

We reserve the right to suspend or terminate access to the Service at any time, for any reason, without prior notice. Contract applications already submitted to a provider remain unaffected.

13. Changes to these Terms

We may update these Terms from time to time. The updated version will be posted at this URL with a revised effective date. If you do not agree with the updated Terms, you should discontinue use of the Service. Continued use after 30 days following the posting of changes constitutes acceptance of the new Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

15. Governing law

These Terms are governed by the laws of the Federal Republic of Germany. Mandatory consumer protection provisions of the country in which you have your habitual residence remain unaffected. Disputes shall be subject to the jurisdiction of the competent courts in Germany.
